CIPC Annual Returns South Africa – Annual Return Filing
CIPC Annual Returns South Africa
Keep the entity active and compliant by dealing with annual returns, Beneficial Ownership and related filing requirements together.
What the annual return does
A CIPC annual return is a statutory filing that keeps the entity's information and active status up to date. It is separate from a SARS tax return.
When to file
CIPC's current guidance requires companies and close corporations to file annual returns, together with the applicable Beneficial Ownership information, within 30 business days after the anniversary date.
Beneficial Ownership is now part of the compliance cycle
CIPC applies a hard stop: annual returns cannot proceed unless Beneficial Ownership information has been submitted and is up to date.
What to prepare
- Company/CC name and registration number.
- Annual-return year or years requiring attention.
- Turnover information for the relevant period.
- Current Beneficial Ownership status and ownership information.
- AFS/FAS information where applicable.
- Any CIPC warning, deregistration or outstanding-filing information already received.
Current service scope
Current annual return
File the latest return and confirm related BO/financial requirements.
Outstanding years
Assess multiple overdue years before payment so the full scope is known.
Dormant company
Non-trading status does not remove the annual-return obligation while the entity remains registered.
Deregistration risk
Where non-compliance has progressed, the appropriate restoration/reinstatement route may need to be considered separately.

Can you help if BO is not up to date?
Yes. We can review the BO position and include the required work in the agreed scope.

Outstanding years, turnover, official fees and additional BO/financial work can change the total scope.
